What We Do

Our attorneys have recently:

  • Successfully negotiated and closed, as counsel to the developer, the acquisition and rehabilitation financing for a 340-unit apartment complex, which utilized over $20,000,000 in tax exempt bonds, approximately $14,000,000 of tax credit equity investment, and $6,000,000 of subordinated debt;
  • Represented a developer group in creating a fund to build several multimillion dollar commercial real estate projects (approx. $30,000,000 in the aggregate) and assisting with all acquisition and financing legal work associated with each site;
  • Represented a developer in connection with three separate low-income housing projects utilizing tax-exempt bonds and tax credits in the aggregate of approximately $60,000,000;
  • Served as outside general counsel to regional physician management service organization;
  • Successfully negotiated and closed multiple acquisitions for growing pediatric practice;
  • Represented a developer in connection with a $15,000,000 multi-family development in Kentucky which utilized tax-exempt bonds, tax credits, and subordinate financing;
  • Developed restricted stock award program for closely-held company in health care industry for benefit of key management employee;
  • Advising a non-profit corporation with its approximately $20,000,000 main campus project, including the acquisition of tax-exempt bond financing and low-income tax credit investment dollars;
  • Successfully negotiated and closed the senior loan on behalf of a national lender in a $10,100,000 construction loan being made to a multifamily project with a capital stack of over $20,000,000;
  • Provided outside general counsel services to companies in various industries, including physician practice groups, manufacturing and distribution, home health care, and hospitality;
  • Represented a bank in connection with a $10,000,000 tax credit investment and bridge loan for rehabilitating a 400-unit apartment complex;
  • Served as outside general counsel to Kentucky fire protection districts governed by and operating under Chapter 75 of Kentucky Revised Statutes;
  • Advised an investor and lender in three historic rehabilitation tax credit projects in Kentucky and Ohio having aggregate re-development costs in excess of $40,000,000;
  • Successfully negotiated and closed merger involving major regional nonprofit corporations comprising approximately $50,000,000 in aggregate annual revenues;
  • Represented a national bank in making a construction loan to a $30,000,000 student housing project in Florida;
  • Assisted with private placement transaction in which $10,000,000 was raised to fund multiple new commercial self-storage developments;
  • Successfully negotiated and closed multiple participations on behalf of participant banks in multifamily and commercial projects;
  • Negotiated numerous complex commercial contracts on behalf of clients, including non-competition covenants, professional service agreements, stock redemption, debt and guaranty arrangements, and purchase and distribution of goods and services;
  • Represented multiple tenants and landlords with commercial leasing matters (drafting, negotiating, and interpreting leases); and
  • Served Kentucky local counsel to multiple national private equity firms, development companies, and law firms.
